This website (“Site”) is published, owned, and operated by or on behalf of Keystone Cooperative, Inc. (“we”, “us”, “our”, or “Keystone”). These Terms of Service (“Terms”) govern your access to and use of this Site and all websites where these Terms are posted, as well as any of our software applications, platforms, and other services that post or link to these Terms (collectively, together with the Site, our “Services”).

Please read these Terms carefully, as they govern your access and use of our Services. By accessing or using our Services you agree to these Terms. You further agree to comply with all applicable laws in connection with your use of our Services. If you are using our Services on behalf of a third party (for example, using a Service on behalf of a farmer), you represent and warrant that you have the authority of that third party to enter information and otherwise use the Service, including the authority to enter into these Terms and any other agreements or transactions you may enter within our Services, on that party’s behalf. If you do not agree to the Terms, please do not use the Services.

To the extent new content or features are added to our Services in the future, your use thereof is subject to these Terms. Use of the Services is subject to our Privacy Policy. By accessing or using any of our Services on which our Privacy Policy is posted or into which it is incorporated, you are also consenting to our use of your personal information in accordance with our Privacy Policy.

Access and Use of Services
Subject to your compliance with these Terms, we grant to you a non-exclusive right to access and use the Services and the data, content, or information contained therein (collectively, the “Content”). You further agree to use the Services and the Content only for lawful purposes, comply with all rules governing any transactions on and through the Services, and comply with all applicable laws. Your access to the Services shall remain in effect unless and until terminated by you or Keystone. 

 

User Account Responsibility

In order to utilize certain of our Services, you may need to register for an account, including a username and password. You are responsible for maintaining the confidentiality of your account and your username and password. You are responsible for all activities that occur under your account and you agree to notify Keystone immediately of any unauthorized use of your account. Keystone is not responsible for any loss that you may incur as a result of any unauthorized person using your account or your password.

Prohibited Uses

You agree that you will not:

  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use and enjoyment of them;
  • In any way violate any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
  • Use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
  • Transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
  • Attempt to gain unauthorized access to any other user’s account, computer systems or networks associated with Keystone or the Services;
  • Obtain or attempt to obtain any materials or information through the Services by any means not intentionally made available or provided by Keystone;
  • Use any robot, spider, or other automatic device, process or means to access the Services for any purpose;
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful;
  • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack;
  • Impersonate or attempt to impersonate Keystone, a Company employee, another user or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing); or
  • Post any content while utilizing the Services that contains any threats, is abusive, harassing, vulgar, obscene, indecent, violates any person's rights of privacy or publicity, is defamatory, libelous, hateful, contains any disparaging statements or opinions regarding racial, gender or ethnic background, or is otherwise tortious or objectionable. 

 

Notice and Consent to Receipt of Text (SMS) Messaging and Phone Calls.
You may have the opportunity to receive SMS or "text" messages, pre-recorded voice messages, or auto-dialed phone calls from Keystone. In providing your phone number to us, you knowingly consent to such communications from us or for us to use your phone number in accordance with our Privacy Policy. In providing your phone number and accepting these Terms, you represent that you have the authority to agree to receive text messages, voice messages, and phone calls at the phone number you provide to us, or from which you sent a text message request to us. You may opt out at any time by following instructions from Keystone and as described in the Privacy Policy.

Third-party Sites and Applications

Our Services may be integrated with or may otherwise interact with third-party applications and/or websites, which may be subject to separate terms of use and/or privacy policies. We are not responsible for any aspect of these third-party applications or websites. You acknowledge that your access and use of any third-party applications and/or websites is at your discretion and risk, and Keystone has no liability to you arising from your use of such applications or websites. Keystone hereby disclaims any representation, warranty, or guaranty regarding such applications and websites, whether expressed, implied or statutory, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose, and any representation, warranty, or guaranty regarding the availability, quality, reliability, features, appropriateness, accuracy, completeness, or legality of such applications and websites, and you agree to indemnify and hold Keystone harmless for any direct, indirect, punitive, incidental, special, or consequential damages, or any damages whatsoever including, without limitation, damages for loss of use, arising out of or in any way connected with the use or performance of such applications and websites.

 

Intellectual Property Notices.
The Services and Content, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Keystone, its licensors, or other providers of such material and are protected by United States and international intellectual property or proprietary rights laws. The Services and Content may not be copied, reproduced, modified, published, uploaded, posted, transmitted, performed, or distributed in any way, and you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, or create derivatives without the express written consent of Keystone or the applicable owner.

Unless otherwise specified on a specific Service or at the time and place of disclosure, any content you create or own and which you post or otherwise provide to us for the purpose of having such content made available on one of our Sites, or for the purpose of sharing it publicly through one of our Services, or otherwise making such content publicly available on one of our Sites (collectively, “User Content”) remains owned by you.  However, in sharing any User Content through your use of the Services you grant Keystone an irrevocable, perpetual, royalty-free, fully paid up, worldwide, non-exclusive license to make available, display, modify, reproduce, create derivative works from, distribute, and otherwise use any such User Content through any medium, whether alone or in combination with other Content or materials, in any manner and by any means, method or technology, whether now known or hereafter created, for any purpose whatsoever, including without limitation for advertising or other commercial purposes, or otherwise in connection with our business. When you post any User Content, please think carefully about what you share. You promise that, with respect to any User Content you post on or through the Services, (1) you own or have the right to post such User Content; and (2) such User Content, or its use by us pursuant to the license granted above, does not violate these Terms, applicable law, or the intellectual property or other rights of any third party. You acknowledge that, in the event of any such unauthorized use, Keystone or the applicable intellectual property owner will have the right, in addition to other remedies available at law and in equity, to seek immediate injunctive relief to prevent any such unauthorized use. 

All communications, feedback, questions, comments, suggestions, proposed features, and the like (collectively “Feedback”) you submit to us through your use of the Services, or otherwise, will be considered non-confidential and non-proprietary with regard to you, but we reserve the right to treat any such Feedback as our confidential information. By submitting Feedback to us, you assign to us, free of charge, a perpetual, irrevocable, worldwide license to create derivative works, distribute, reproduce, display, and otherwise use, any intellectual property rights or proprietary information and ideas contained within any such Feedback, including without limitation the right to sublicense or assign any of the foregoing. We will be entitled to use any Feedback you submit to us, and any ideas, concepts, know-how or techniques contained in any such Feedback, for any purpose whatsoever, including but not limited to developing and marketing products and services using such Feedback without restriction and without notifying or compensating you in any way. Please do not send us any information or materials for which you do not wish to grant us such rights, including, without limitation, any confidential information or any original creative materials such as product ideas, written materials, photographs, original artwork, or computer code. You are responsible for the information and other content contained in any Feedback you submit to us, including, without limitation, their truthfulness and accuracy.


Digital Millennium Copyright Act Compliance

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or through the Services infringe your copyright, you may request removal of those materials (or access to them) by submitting written notification to legal@keystonecoop.com. Your written notice must include substantially the following:

  • Your physical or electronic signature.
  • Identification of the copyrighted work you believe to have been infringed or, if the claim involves multiple works on the Website, a representative list of such works.
  • Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material.
  • Adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address).
  • A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the written notice is accurate.
  • A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright

KEYSTONE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Indemnity
You agree to defend, indemnify, and hold harmless Keystone, its affiliates, and its licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services or your use of any information obtained through your access and use of the Services.

Termination and Restriction of Access
In its sole discretion, we may terminate or suspend your access to the Services for any reason, at any time, without notice, including for breach of these Terms. Keystone shall not be liable for any losses or damages arising from any such termination of service.

Arbitration; Limitation on Time to File Claims
At its sole discretion, we may require you to submit any disputes arising from use of the Services, or breach of these Terms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Indiana law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING UNDER THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE DATE THE PARTY ASSERTING THE CLAIM FIRST KNOWS OR REASONABLY SHOULD KNOW OF THE ACT, OMISSION, OR DEFAULT GIVING RISE TO THE CLAIM; AND THERE SHALL BE NO RIGHT TO ANY REMEDY FOR ANY CLAIM NOT ASSERTED WITHIN THAT TIME PERIOD.

 
Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Indiana.  You hereby irrevocably consent to the exclusive jurisdiction and venue of the courts in Marion County, Indiana in all disputes arising out of or relating to the use of the Services.

 

Changes to Terms; Interruptions

We may update the Services and Content from time to time. The effective date of any updates will be reflected in the “Last Modified” date at the top of these Terms. Your continued use of the Services after any such change is communicated shall constitute your consent to such change(s). We reserve the right to modify or discontinue all or any portion of our Services at any time with or without notice to you. We will not be liable if we choose to exercise this right.
 

Waiver and Severability

No waiver by Keystone of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Keystone to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms and our Privacy Policy, along with any additional terms referenced and incorporated herein, constitute the sole and entire agreement between you and Keystone regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

 

No Relationship

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Keystone as a result of these Terms or your use of the Services.
 

Your Comments and Concerns

Each of the Sites provides a Contact Us section to facilitate feedback from site visitors. Please use this facility to provide feedback and/or comments or to submit questions, concerns, requests for technical support, and/or other communications relating to the Services.

This Privacy Policy describes our practices in connection with how we collect, use, and disclose or otherwise process Personal Information. This Privacy Policy applies when you access or use our websites, our online applications and systems, our social media pages, or how you otherwise interact with us. This Privacy Policy does not apply to (i) our employees or job applicants where the Personal Information we collect about those individuals relates to their current, former, or potential role with us or (ii) third-party sites which may be linked to a Keystone website.

We give you choices regarding our use and disclosure of your information. 

  • Emails: You may opt-out from receiving electronic communications from us. If you no longer want to receive marketing-related emails from us on a going-forward basis, you may opt-out by using the unsubscribe mechanism contained in each email communication.
  • Text Messages: If you wish to stop receiving text messages from us, reply STOP to any text message sent from us. SMS opt-in or phone numbers for the purpose of SMS are not being shared with any third party and affiliate company for marketing purposes.
  • Cookies: You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. If you disable or refuse cookies, please note that some parts of our websites may then be inaccessible or not function properly. 

We do not control third parties’ collection or use of your information. We have no control over, and are not responsible for, their data collection and/or handling practices. We encourage you to be aware when you leave our websites, such as through a link displayed on our website, and encourage you to read the privacy statements on third parties’ sites.


Your Rights

Residents of certain states have rights under the privacy laws of those states, subject to applicable exceptions or limitations. We will maintain a record of your request and our response to it, consistent with applicable law.


Correction/Updating of Personal Information
If there is an issue with the accuracy of Personal Information, please contact us via the Contact Us section of our website to request changes. We may not accommodate a request to change information if we believe the change would violate any law or legal requirement or cause the information to be incorrect. Further, no changes to Personal Information will be permitted where the change would result in incorrect information or would alter a transaction with us already completed.

Deletion of Personal Information

You may request that we delete the Personal Information that we have about you, subject to certain exceptions and state law. In some circumstances, in response to a deletion request we may choose to anonymize, aggregate, or deidentify your Personal Information so that it cannot be linked to or used to identify you.


Children Under the Age of 13

Our products and services are not directed at individuals under the age of 13, and we do not knowingly collect Personal Information from children under 13. 


Retention of Personal Information
Keystone will periodically delete Personal Information if it is no longer needed for any purpose for which the information may be used or disclosed under the terms of this Privacy Policy.

Security
Keystone takes precautions to protect your Personal Information. Our safeguards include technical means and policies and procedures that our staff is trained to follow. In any event in which a Keystone website is hosted by a third party, these safeguards shall also apply. If as a registered user you receive a password, you should keep it confidential because it is the key to access to the information held by Keystone about you. If you leave your computer’s internet browser running and someone else uses your computer, they will be able to access your account; thus, if your computer is not physically secure remember to shut down your browser, remove browsing history and cookies before you leave it.

We try to reduce the likelihood of accidental disclosures and unintended access and modification of account information, but it is impossible to eliminate this possibility completely. When users submit sensitive information via the website, their information is protected both on-line and off-line.

Access to Personal Information is restricted in our offices. Keystone employees are kept up-to-date on our security and privacy practices. Any time new policies are added, our employees are notified and/or reminded about the importance we place on privacy, and what they can do to ensure our customers’ information is protected.

Protecting Your Own Privacy
Please keep in mind that whenever you voluntarily disclose Personal Information online – for example on message boards, through email, or in chat areas – that information can be collected and used by others. Ultimately, you are solely responsible for maintaining the secrecy of your passwords and/or any account information.

 

Changes to Policy

If Keystone decides to change its privacy policies and practices, we will post those changes to our Privacy Policy on our website in advance of the changes taking effect, so our users are always aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. If at any point we decide to use Personal Information in a manner different from that stated at the time it was collected, we will notify you. You will have a choice as to whether or not we use your information in this different manner.
